These Terms of Use (“Terms”) govern your access to and use of websites, applications, products, and services provided by Roman Copilot AI, Inc., doing business as Roman AI (“Roman AI,” “we,” “us,” or “our”).

By accessing or using our website or services, you agree to these Terms.

Separate Customer Agreements

If you or your organization has entered into a separate Master Services Agreement, Order Form, Business Associate Agreement, Pilot Agreement, or other written agreement with Roman AI, that agreement governs to the extent it conflicts with these Terms.

Use of the Services

You may use Roman AI services only for lawful purposes, in accordance with these Terms, any applicable customer agreement, and in a manner that does not interfere with the security, integrity, or operation of Roman AI systems.

Accounts and Security

Where an account is required, you agree to provide accurate information, maintain the confidentiality of your credentials, use reasonable security practices, and promptly notify Roman AI if you believe an account or credential has been compromised.

Roman AI may require multi-factor authentication or other security controls.

Prohibited Uses

• Attempting to gain unauthorized access to Roman AI systems or data.
• Circumventing authentication or security mechanisms.
• Testing system vulnerabilities without authorization.
• Introducing malware or malicious code.
• Using the services for unlawful, fraudulent, abusive, or deceptive purposes.
• Accessing information belonging to another customer without authorization.
• Reverse engineering or attempting to derive source code except where prohibited by law.

Customer Data

As between Roman AI and its customers, customers retain ownership of data they provide to Roman AI.

Roman AI may process customer data as necessary to provide, secure, maintain, and improve the services and as otherwise permitted under applicable customer agreements.

Roman AI may use aggregated or de-identified information where permitted by applicable agreements and law, provided such information does not reasonably identify an individual or customer.

Healthcare Information

Roman AI may process PHI on behalf of healthcare customers. Where required, Roman AI and the applicable healthcare customer will enter into a Business Associate Agreement governing Roman AI's handling of PHI.

Intellectual Property

Roman AI and its licensors retain all rights, title, and interest in and to Roman AI software, models, algorithms, workflows, interfaces, documentation, designs, technology, trademarks, and other intellectual property associated with the services.

Feedback

If you provide suggestions, ideas, or feedback regarding Roman AI, you grant Roman AI the right to use that feedback without restriction or compensation, provided Roman AI does not identify you publicly without permission.

Third-Party Services

Roman AI may integrate with or rely upon third-party products, platforms, APIs, or services. Roman AI is not responsible for third-party services outside Roman AI's control.

Availability and Changes

Roman AI may modify, update, improve, discontinue, or change features of the services from time to time.

Unless a separate written agreement provides otherwise, Roman AI does not guarantee uninterrupted or error-free availability.

Disclaimers

To the fullest extent permitted by law, Roman AI services are provided “as is” and “as available.”

Roman AI disclaims warranties not expressly provided in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Roman AI does not provide medical advice, diagnosis, or treatment through its general technology services unless expressly stated otherwise in a separate written agreement.

Limitation of Liability

To the fullest extent permitted by law, Roman AI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the website or services.

Where a separate customer agreement applies, liability will be governed by that agreement.

For use of the public website where no separate agreement applies, Roman AI's aggregate liability arising out of these Terms will not exceed the amount paid by you to Roman AI for the applicable service during the twelve months preceding the event giving rise to the claim.

Suspension and Termination

Roman AI may suspend or terminate access where reasonably necessary to address security risks, prevent unlawful or unauthorized activity, protect Roman AI or its customers, enforce these Terms, or comply with law.

SMS Visit Reminders Program

Program: Roman AI visit reminders are operational text messages sent by Roman Copilot AI, Inc. d/b/a Roman AI to staff providers of client clinics, 5 minutes before each visit they are scheduled for. They are not marketing messages and are not sent to patients.

How to join: text JOIN to +1 888 781 4119, then reply YES to confirm.

Message frequency: varies with your schedule, up to 15 messages per working day.

Cost: Message and data rates may apply.

Opt out: reply STOP at any time. You will receive one final message confirming you have been unsubscribed, and no further messages will be sent.

Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Changes to These Terms

Roman AI may update these Terms from time to time. The Last Updated date will indicate the most recent revision.
